3.1. To use the Platform, the User registers, provides the requested contact details and confirms consent to this Offer by taking the corresponding action in the Platform interface.
3.2. Acceptance of the Offer is deemed to occur when the User completes registration after confirming agreement to its terms. The Agreement is deemed concluded at that moment.
Subsequent entry of business information, connection of an EDS, selection of a Plan, payment and use of the Platform take place under the Agreement already concluded and do not change the time at which it was concluded.
3.3. By effecting Acceptance, the person registering confirms that they have authority to conclude and perform the Agreement on behalf of the relevant User.
3.4. After Acceptance, the User must enter complete and accurate information about its business in the Personal Account, including its name, TIN or PINFL, if applicable, legal form, address, tax regime, bank details and other information requested by the Platform for provision of the relevant functionality.
3.5. The User is responsible for the accuracy and currency of the information provided and must update it no later than 3 (three) Business Days after the relevant change.
3.6. After Acceptance, the User must connect an EDS in accordance with Section 4 of the Agreement. Until the necessary information and a valid EDS are provided, functionality for which such data or EDS is objectively necessary may be unavailable.
3.7. Acceptance and conclusion of the Agreement do not in themselves create an obligation for the Provider to provide paid functionality. The Provider’s obligations in respect of the relevant Plan arise after full advance payment is received and the User has provided the data, documents, EDS and access necessary to use the relevant functionality.
3.8. The User is responsible for safeguarding the means of access to the Personal Account and for the actions of its employees and representatives to whom such access has been granted.
If unauthorized access is detected, the User must notify the Provider immediately.

4. ELECTRONIC DIGITAL SIGNATURE

4.1. The User connects the EDS independently and exclusively through the secure functionality of the Platform provided for that purpose.
The private key, password and other data enabling use of the EDS may not be transmitted by email, unprotected messenger correspondence, telephone or other channels not provided for by the Platform.
4.2. By connecting an EDS, the User confirms that:
a) the EDS belongs to the User or to a person duly authorized to act on its behalf;
b) the person connecting and using the EDS has the necessary authority;
c) the EDS certificate is valid;
d) the technical data provided is correct;
e) use of the EDS through the Platform is lawful.
4.3. The User is responsible for ownership and validity of the EDS, the existence of the necessary authority, correctness of access data, timely renewal or replacement of the certificate and security of the private key.
4.4. By connecting the EDS to the Platform, the User grants the Provider a limited authorization to use it exclusively:
a) for the purposes of performing this Agreement;
b) through the Platform;
c) within the selected and paid Plan;
d) to perform actions provided for by the relevant functionality.
4.5. Within the scope of that authorization and where the relevant Plan function is available, the Provider may use the User’s EDS to prepare, sign and submit electronic documents and reports on behalf of the User.
If the law or the rules of the relevant information system require a separate power of attorney, special role or other confirmation of authority for a particular action, the User must arrange for it. This Agreement does not replace such a document.
4.6. The Provider may not use the EDS outside the scope of the authorization granted by the User.
4.7. The Provider is not liable for consequences caused by connection of an improper EDS, lack of authority to use it, expiry or termination of the certificate, incorrect access data, compromise of the key on the User’s side or transfer by the User of access credentials to third parties.
4.8. If use of the EDS becomes impossible, the Provider may suspend functions that objectively require it until the relevant circumstance is remedied.
4.9. The User must immediately notify the Provider of compromise, loss or suspected unlawful use of the EDS and take the necessary steps to prevent its further use.
4.10. The Provider is liable for unlawful use of the EDS outside the scope of the authorization granted if such use occurred through the Provider’s proven fault.
4.11. Actions performed using the EDS are recorded by the Platform’s technical means to the extent provided by its functionality.
4.12. Upon termination of the Agreement, revocation of the authorization by the User or termination of the relevant EDS, the Provider ceases to perform new actions using it.
Stored technical data enabling new actions using the private key are blocked and deleted within 10 (ten) Business Days, unless a shorter period is prescribed by applicable information-security requirements.
This does not apply to previously signed documents, information on completed transactions, event logs and other data whose retention is required by law or necessary to substantiate performance of the Agreement.

5. PLANS AND PROCEDURE FOR GRANTING ACCESS

5.1. Current Plans, their contents, prices, limits and other terms are posted at https://azmafinance.com/pricing and displayed in the Personal Account before the relevant Plan is activated or renewed.
Current information about Additional Functionality and its price is also posted on that page and in the Personal Account.
5.2. The terms of a specific Plan displayed to the User in the Personal Account immediately before its activation or payment form part of the Agreement and take precedence over general information about that Plan on the Website.
5.3. Activation of a Plan or Additional Functionality through the Personal Account does not require the signing of a separate supplementary agreement.
5.4. Once the limits established by a Plan are reached, further use of the relevant functionality is governed by the Plan terms, including additional payment, switching to another Plan or restriction of the relevant function.
5.5. The Provider may unilaterally change the contents, prices and other terms of Plans and Additional Functionality by posting updated terms at https://azmafinance.com/pricing and on the Platform.
Such changes apply to subsequent Billing Periods and do not alter the price or agreed scope of functionality for a Billing Period that has already been paid in full.
The Provider notifies the User of a price change by a separate notification on the Platform at least 5 (five) calendar days before the new price takes effect.
5.6. If the price of a Plan depends on indicators of the User’s activities, including turnover, number of transactions, documents, employees or bank accounts, the applicable tax regime or other published parameters, a change in such indicators is grounds for applying the corresponding pricing tier.
The new price applies from the next Billing Period after notification to the User, unless the Plan terms communicated to the User before activation expressly provide for an additional charge for exceeding a limit in the current period.
5.7. The Provider may run promotions and offer temporary discounts, promo codes and individual offers. The relevant terms apply for the stated period and do not entitle the User to demand their application after the promotion ends.
5.8. Free Platform functionality, if any, is provided to the extent determined by the Provider. The Provider may change the composition of free functionality, discontinue its provision or make individual functions paid.
5.9. The service of providing access to the Platform consists of enabling the User technically to use remotely the functionality available to it and, with respect to the Personal Account, is provided from the completion of registration.
Access to paid functions is granted after receipt of 100% advance payment for the relevant Plan.
5.10. If use of a particular function requires documents, source data, an EDS, confirmations or technical access from the User, the Provider’s obligation to perform it arises after the User provides everything necessary.
5.11. If necessary to commence operation of the selected Plan, within 7 (seven) Business Days after its activation the Provider conducts an initial review of the source data supplied by the User to the extent necessary to configure the relevant functionality and informs the User of missing documents or information.
This review is not an audit, inspection or comprehensive review of the User’s accounting or tax records for previous periods.
5.12. The User provides documents and information requested by the Provider within 3 (three) Business Days of receipt of the request, unless another period is expressly specified in that request.
5.13. If errors, inconsistencies or omissions are identified in the data provided, the Provider notifies the User and may suspend the relevant operation until the identified circumstances are remedied.
5.14. The Provider is not liable for circumstances arising before the start of provision of paid functionality, including previously made accounting errors, incorrect balances, unfiled or incorrectly filed reports, tax arrears, fines, late-payment penalties, missing documents and actions of the User’s former employees or contractors.
Correction and restoration of data for previous periods are performed only where that function is included in the Plan or separately agreed and paid for by the User.
5.15. The Provider may update the Platform and change its interface and the technical implementation of functions, provided that the essential scope of functionality already paid for by the User is preserved.
5.16. The operation of functions using government information systems, banking services, electronic document interchange and other external resources depends on the actual availability and technical requirements of the respective systems.

6. RIGHTS AND OBLIGATIONS OF THE PARTIES

6.1. The Provider undertakes to:

d) refuse to perform actions that contravene the law or fall outside the selected Plan;
e) change the Plans and the terms of the Offer in the manner prescribed by the Agreement;

d) ensure that its representatives have the necessary authority;

j) immediately report identified security breaches.
6.4. The User may:

b) receive information about the contents and price of its Plan;
c) change its Plan and activate Additional Functionality in the manner provided by the Platform;
d) disable auto-renewal;
e) submit reasoned inquiries and complaints to the Provider;
f) export its own data in formats supported by the Platform.

7. PRICE AND PAYMENT PROCEDURE

7.1. The price of Plans and Additional Functionality is determined in accordance with Section 5 of the Agreement.
7.2. Prices under the Agreement are set, and settlements between the Parties are made, exclusively in Uzbek soums.
7.3. Unless expressly provided otherwise in the terms of a particular Plan, services are paid for on the basis of 100% advance payment.
7.4. The first payment is made upon activation of a paid Plan. Paid functionality is activated after the Provider receives confirmation that the full payment amount has been received.
7.5. In the case of monthly pricing, if the User activates a paid Plan on or before the 15th day of a calendar month and the relevant Plan provides for actions in the current month in relation to reporting for the previous calendar month, the initial payment includes the price of two periods:
a) the price of functionality and actions performed after the User’s activation in relation to the previous calendar month;
b) the price of the Plan for the current calendar month.
Payment for those periods does not mean that the Provider assumes responsibility for the state of accounting, documents, information or other circumstances arising before performance of the Agreement began. Such responsibility is determined in accordance with Clause 5.14 of the Agreement.
7.6. Payment is made through Payment Services available on the Platform, by bank card, by bank transfer to the Provider’s settlement account or by another method provided in the Platform interface.
The Provider may change the list of available payment methods without amending the Agreement.
7.7. When payment is made through a Payment Service, the payment obligation is deemed performed when the Provider receives confirmation of successful payment.
In the case of a bank transfer, the obligation is deemed performed when the funds are credited to the Provider’s settlement account.
7.8. The User must provide information necessary to identify a bank payment. Any delay caused by inability to identify the payment due to an incorrect payment description or details is borne by the User.
7.9. Bank or Payment Service fees are paid in accordance with the terms of the relevant payment method.

8. RECURRING PAYMENTS

8.1. Acceptance of this Offer constitutes the User’s consent to the possibility of using Recurring Payments to pay for subsequent Billing Periods when the User connects a payment instrument to the auto-renewal function.
8.2. Linking a particular payment instrument, its verification and other necessary actions are carried out in accordance with the requirements of the relevant Payment Service.
If the Payment Service requires separate confirmation of automatic charges, the User provides that confirmation additionally.
8.3. After enabling auto-renewal, the User instructs the Provider to initiate, through the relevant Payment Service, a repeat charge for the price of the next Billing Period without repeated Acceptance of the Offer before each payment.
8.4. The amount of a Recurring Payment is determined by the Plan price applicable to the relevant subsequent Billing Period, taking into account notification of the User of a price change in the manner provided in Section 5.
8.5. The Provider sends the User notice of an upcoming Recurring Payment through the Platform no later than 1 (one) calendar day before the intended charge. The notice may also be duplicated via a Telegram bot and SMS to the User’s contact details.
8.6. The User may disable auto-renewal at any time through the Personal Account.
Disabling auto-renewal does not terminate the current paid Billing Period or entitle the User to a refund of its price, but prevents subsequent automatic charges.
8.7. Insufficient funds, expiry of the payment instrument or refusal by the Payment Service to make the charge means that the next Billing Period has not been paid for and entails the consequences provided in Section 9.

9. SUSPENSION AND RESTRICTION OF ACCESS

9.1. If full payment has not been received by the start of the next Billing Period, provision of paid functionality is suspended until the debt is paid.
9.2. During suspension, the Provider is not required to perform operations included solely in the paid Plan, including preparation, signing and submission of documents and reports.
9.3. The Provider is not liable for missed deadlines or other consequences to the extent directly caused by the User’s nonpayment and the resulting suspension of functionality.
9.4. After receipt of full payment, functionality resumes within the time technically necessary to process the payment, but no later than 1 (one) Business Day after receipt is confirmed.
Restoration of access does not obligate the Provider automatically to perform actions whose deadlines expired during the suspension.
9.5. For late performance of a monetary obligation due for payment, the User shall pay the Provider, upon its written demand, a late-payment penalty of 0.1 percent of the overdue payment for each day of delay, but not more than 10 percent of that debt.
This amount constitutes the contractual liability agreed by the Parties for the relevant breach.
9.6. The Provider may also restrict access to the Platform in whole or in part in the event of:
a) a threat to information security;
b) unlawful use of the Platform or EDS;
c) an attempt at unauthorized access;
d) provision of knowingly false data materially relevant to performance of the Agreement;
e) a material breach of the Agreement by the User;
f) receipt of a binding demand from a competent government authority.
9.7. If a breach can be remedied and does not create an immediate threat to security or a violation of the law, the Provider gives the User prior notice through the Personal Account and a reasonable period to remedy it.
9.8. In the event of a security threat, EDS compromise, unlawful use of the Platform or a binding demand from a government authority, access may be restricted immediately.
9.9. Temporary restriction or suspension of access does not terminate the Agreement unless the Provider expressly notifies the User of its refusal to continue performing it in accordance with Section 14.

10. ELECTRONIC DOCUMENT INTERCHANGE, ELECTRONIC INVOICES AND ACCEPTANCE OF SERVICES

10.1. Services under the Agreement are documented by payment invoices, service completion certificates, electronic invoices and other documents required by the laws of the Republic of Uzbekistan.
The Provider does not prepare a separate report on the services provided.
10.2. At the end of the relevant Billing Period, the Provider prepares a service completion certificate and an electronic invoice if preparation of the relevant document is required by law.
10.3. Electronic documents are sent through Didox or another electronic document interchange operator used by the Parties and may additionally be displayed in the Personal Account.
10.4. This Offer and the information on the date of its Acceptance by the User constitute the contractual basis for preparing invoices, certificates, electronic invoices and other settlement documents without the need to enter into a separate bilateral agreement.
10.5. Within 5 (five) Business Days of receiving a certificate, the User must:
a) sign it; or
b) submit reasoned objections specifying particular deficiencies or disputed circumstances.
10.6. If no reasoned objections are received within that period, the services for the relevant Billing Period are deemed duly provided and accepted by the User without reservations.
10.7. If there are substantiated objections, the Provider reviews them and, if necessary, prepares corrected documents.
10.8. The User must keep its details up to date in the Personal Account and the electronic document interchange system used.

11. REFUNDS

11.1. The User may request a refund through the Personal Account or the Provider’s support service.
The request must contain information enabling identification of the User and the relevant payment, the amount and the grounds for the refund.
11.2. A refund is made in the event of:
a) a payment made in error;
b) a duplicate charge;
c) inability to activate a paid Plan for reasons for which the Provider is responsible;
d) discontinuation by the Provider of paid functionality before the end of the Billing Period in the absence of a breach by the User;
e) other cases provided by law or the Agreement.
11.3. In the case of an erroneous or duplicate payment, the corresponding excess amount paid is refunded.
11.4. If paid functionality was not activated due to the Provider’s fault and the relevant breach was not remedied within a reasonable period, the price of services not provided is refundable.
11.5. If the User withdraws from the Agreement after a paid Billing Period has commenced, the price of that period is payable in full and is nonrefundable, except where the withdrawal is caused by the Provider’s culpable breach or a different procedure is expressly provided by law or the terms of the relevant Plan.
11.6. Funds received for a future Billing Period that has not commenced by the time the Agreement is terminated and for which paid functionality has not been provided are refundable if the User owes no debt to the Provider.
11.7. In the case of annual payment, the terms of early recalculation are determined by the relevant Plan or promotion terms. If a refund for the unused portion of the annual period is provided for, the price of the portion actually used may be recalculated on the basis of the monthly price without the annual discount.
11.8. As a rule, the refund is made through the same payment instrument used for payment, subject to the technical rules of the relevant bank or Payment Service.
11.9. The Provider reviews a refund request within 10 (ten) Business Days after receiving the necessary information and documents. The time for actual crediting of the refunded funds is determined by the relevant bank or Payment Service.

12. LIABILITY OF THE PARTIES

12.1. The Parties are liable for failure to perform or improper performance of their obligations in accordance with the Agreement and the laws of the Republic of Uzbekistan.
12.2. The User is responsible for:
a) the accuracy and timely provision of information and documents;
b) the legality of its business transactions;
c) the availability of proper primary documents;
d) the currency of information on its tax regime, employees and other circumstances of its business activities;
e) the authority of its representatives;
f) ownership, validity and security of the EDS;
g) timely payment;
h) the availability of funds to meet its own tax, employment and other obligations.
12.3. The Provider is not liable for consequences to the extent directly attributable to:
a) incomplete, inaccurate or late data supplied by the User;
b) the absence of necessary documents or confirmations;
c) actions of the User or its representatives;
d) circumstances arising before the start of paid service;
e) the absence of, or inability to use, a valid EDS;
f) suspension of functionality due to the User’s breach of its obligations;
g) actions or technical unavailability of government information systems, banks, Payment Services, electronic document interchange operators and other external resources outside the Provider’s reasonable control.
12.4. The Provider is liable for losses directly caused to the User by the Provider’s culpable failure to perform or improper performance of its obligations.
The extent of the Provider’s liability is determined within the limits established by the laws of the Republic of Uzbekistan for an agreement for the paid provision of services.
12.5. Fines and late-payment penalties imposed on the User by a government authority shall be reimbursed by the Provider to the extent that all of the following conditions are simultaneously established:
a) the relevant sanction was directly caused by the Provider’s error;
b) the User provided complete and accurate documents and information on time;
c) the User provided a valid EDS and the necessary authority;
d) the relevant Plan was paid in full and its operation had not been suspended;
e) the User notified the Provider promptly of the identified breach and gave it a reasonable opportunity to correct it or participate in challenging the sanction.
12.6. Taxes, fees and other mandatory payments that the User would have been required to pay regardless of the Provider’s actions do not constitute the User’s losses and are not recoverable from the Provider.
12.7. Where actions or omissions of both Parties contributed to losses or sanctions, liability is determined with regard to the degree of causal connection between each Party’s respective actions and the resulting consequences.
12.8. A Party claiming compensation for losses must take reasonable steps to prevent and mitigate them.

13. PERSONAL DATA, CONFIDENTIALITY AND INTELLECTUAL PROPERTY

13.1. The Provider processes personal data in accordance with the laws of the Republic of Uzbekistan and the Privacy Policy posted on the Website.
13.2. The User confirms that it has lawful grounds to transfer to the Provider the personal data of its employees, representatives and other natural persons whose information is entered into the Platform.
13.3. The Provider processes and stores the User’s documents and data to the extent and for the periods necessary to perform the Agreement and comply with mandatory legal requirements.
13.4. Each Party undertakes not to disclose to third parties the other Party’s confidential commercial, financial or technical information received in connection with performance of the Agreement, except where disclosure is necessary to perform the Agreement or required by law.
13.5. All exclusive rights in the Platform, including its software code, architecture, algorithms, interface, databases, design and other protected elements, belong to the Provider or the respective right holders.
13.6. The User is granted a nonexclusive, nontransferable right to use the Platform’s functionality for its own business activities solely within the scope of the effective Plan.
13.7. The User may not, without lawful grounds, copy, modify or decompile software code, engage in reverse engineering, circumvent the Platform’s technical restrictions or give unauthorized third parties access to it.

14. TERM AND TERMINATION OF THE AGREEMENT

14.1. The Offer is effective from its publication until withdrawn or replaced by a new version.
The Agreement with a particular User takes effect upon Acceptance and remains in force until terminated in the manner provided in this Section.
14.2. Paid functionality is provided during the paid Billing Period and is renewed for the next period upon receipt of the relevant payment, including through a Recurring Payment.
14.3. The User may decline to renew the Plan for the next Billing Period by disabling auto-renewal before the next charge is made.
Such refusal does not terminate the Billing Period already paid for.
14.4. The User may unilaterally withdraw from further performance of the Agreement by sending notice through the Personal Account.
If the withdrawal is not due to the Provider’s culpable breach, settlement for a Billing Period that has commenced is made in full in accordance with Section 11 of the Agreement.
14.5. The Provider may unilaterally withdraw from further performance of the Agreement without court proceedings by sending notice to the User in the following cases:
a) a material breach of the Agreement by the User that has not been remedied within the reasonable period specified by the Provider;
b) repeated late payments or nonpayment of a debt for more than 30 (thirty) calendar days;
c) unlawful use of the Platform;
d) improper use of the EDS;
e) provision of knowingly false data materially relevant to performance of the Agreement;
f) actions of the User creating a material threat to the security of the Platform or other users’ data.
14.6. In cases of unlawful use of the Platform, EDS compromise or a material threat to information security, the Provider may withdraw from further performance of the Agreement immediately.
14.7. The Provider’s unilateral withdrawal in the absence of a breach by the User is permitted only subject to the consequences of such withdrawal provided for by the laws of the Republic of Uzbekistan.
14.8. From the date of termination of the Agreement:
a) provision of paid functionality ceases;
b) initiation of Recurring Payments ceases;
c) performance of new actions using the User’s EDS ceases;
d) the Parties make final mutual settlements.
14.9. After termination of the Agreement, the User may, within 30 (thirty) calendar days, export the documents and data available to it in formats supported by the Platform, unless a different procedure is required by law or information-security requirements.
14.10. After that period expires, the Provider may delete or anonymize User data whose retention is no longer required.
Documents and information subject to mandatory retention, including electronic document interchange documents and electronic invoices, information on Acceptance and payments, EDS usage logs and data necessary to resolve an existing dispute, are retained for the applicable periods.

15. AMENDMENT OF THE OFFER AND NOTICES

15.1. The Provider may unilaterally amend the terms of this Offer.
15.2. A new version of the Offer is published at the Offer Publication Address specified in its preamble and replaces the previous version when the new version takes effect.
15.3. The new version takes effect on the date specified in it, but not earlier than 5 (five) calendar days after publication, unless a different period is required by mandatory legal requirements.
The Provider notifies the User of material changes by a separate notification on the Platform.
15.4. Changes apply prospectively and do not change the price or scope of a Billing Period already paid in full, except where the relevant change is directly required by law.
15.5. Continued use of the Platform after the new version of the Offer takes effect constitutes the User’s acceptance of the amended terms.
A User who does not agree to the changes may stop using the Platform and decline subsequent Billing Periods.
15.6. Corrections of technical errors, typographical errors, details, links and other changes that do not affect the scope of the Parties’ rights and obligations may take effect upon publication.
15.7. The Personal Account is the primary channel for legally significant communications.
Messages may additionally be sent by email, telephone number, Telegram or another contact channel provided by the User.
15.8. A notification is deemed delivered when it is posted in the Personal Account, provided that such posting is technically recorded.
